1. Introduction and Acceptance
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”) and rapptide (“we,” “us,” “our”). By accessing or using the rapptide SaaS platform, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.
2. User Accounts
- Account Creation: A valid account is required to access the platform.
- Accuracy: You must provide accurate and up-to-date information.
- Credentials: You are responsible for maintaining confidentiality of login details and all activity under your account.
- Termination by User: You may close your account at any time.
- Termination by rapptide: We may suspend or terminate accounts for violations of these Terms, legal requirements, fraudulent use, abuse, or security reasons.
3. Eligibility and Age Restrictions
3.1 Business Use Only
rapptide is exclusively intended for use by businesses, organizations, and professionals acting in a commercial capacity. By registering, you confirm that you are acting on behalf of a business or for professional purposes.
3.2 Minimum Age
You must be at least 18 years old to create an account or use the service. rapptide does not knowingly permit use of the platform by minors.
3.3 Authorized Personnel Only
If you invite team members to rapptide, you represent and warrant that each user:
- is at least 18 years old,
- is authorized by your organization, and
- will comply with these Terms.
3.4 Verification
We reserve the right to request proof of age or authorization and to suspend or terminate accounts that do not meet eligibility requirements.
4. Subscriptions and Payments
- Subscription Access: Service access is billed on a recurring subscription basis.
- Billing Cycles: You authorize rapptide to automatically charge you each applicable billing period.
- Payment Failure: Failed payments may lead to suspension of service.
- Chargebacks: Unjustified chargebacks may result in termination.
- Price Changes: We may adjust prices with at least 30 days’ notice where required.
- Refunds: Refunds follow Section 5 and applicable consumer protection laws.
5. Right of Withdrawal (Consumers Only)
5.1 B2B Users
rapptide is primarily designed for business and professional use. For users acting in a business or professional capacity, no statutory withdrawal rights apply.
5.2 B2C Users (EU/EEA/UK Residents)
If you are using rapptide as a consumer, you may have a statutory 14-day right of withdrawal under applicable law.
5.2.1 Waiver of Withdrawal Right for Digital Services
By creating an account and requesting immediate access to rapptide, you expressly acknowledge that:
- the service begins immediately upon registration, and
- you lose your 14-day right of withdrawal once access has been granted.
This waiver is permitted under EU/EEA/UK consumer protection laws for digital services supplied immediately upon request.
5.2.2 Refunds
Refunds are not provided after access to the service has been granted, except where required by law or at rapptide’s sole discretion. No refunds for B2B, except in exceptional cases at rapptide’s discretion
6. User Content, Generated Data & Feedback
- Ownership: You retain ownership of your content and data.
- License: You grant rapptide a worldwide, royalty-free license to host, process, and use content solely to provide the service.
- Generated Outputs: Data or results generated by the system may be stored to ensure functionality and service continuity.
- Feedback: Any suggestions are non-confidential and may be used freely.
- Prohibited Content: Illegal, harmful, or infringing content is forbidden.
6.1 Legal Compliance and Government Requests
While rapptide prioritizes user privacy and data security, we may be required to disclose user information to comply with applicable laws, regulations, legal processes, or government requests. Any disclosure will be limited to what is legally necessary and conducted in accordance with applicable privacy laws.
6.2 Automated Decision-Making and AI Processing
rapptide may use AI or automated systems to process data, generate outputs, or provide recommendations (e.g., CV filtering, email automation). These automated processes do not make legal or similarly significant decisions without human oversight. Users consent to AI processing of their data solely for the purpose of delivering platform functionality and improving services.
7. Acceptable Use and Prohibited Conduct
7.1 Acceptable Use
You agree to use rapptide only for lawful business purposes and in a manner consistent with these Terms. Acceptable use includes:
- Accessing the platform through authorized user accounts.
- Using the service in accordance with applicable laws and industry standards.
- Uploading information or content that you have the rights and permissions to use.
- Ensuring that your team members comply with these Terms.
7.2 Prohibited Conduct
You must not engage in any activity that harms or attempts to harm the platform, our systems, our reputation, or other users. The following actions are strictly prohibited:
7.2.1 Security and Technical Misuse
- Interfering with, disrupting, or degrading the integrity, performance, or security of the service.
- Attempting to gain unauthorized access to any part of the platform, including accounts, systems, or networks.
- Reverse-engineering, decompiling, or attempting to extract source code or underlying algorithms.
- Launching automated tools, including scraping, crawling, brute-force attacks, or mass data harvesting.
- Uploading or transmitting malware, viruses, ransomware, spyware, or any harmful code.
7.2.2 Illegal or Harmful Use
- Using the service to commit or assist in unlawful activities.
- Posting, storing, or transmitting content that violates intellectual property rights.
- Uploading content that is harmful, abusive, threatening, defamatory, or discriminatory.
- Using the platform to send spam, unsolicited messages, or abusive communications.
7.2.3 Platform Integrity & Fair Use
- Overloading the platform with excessive API calls or automated actions that degrade performance.
- Circumventing access controls, subscription limits, or any usage restrictions.
- Using the service in a manner that competes with rapptide or replicates core functionality.
7.3 Enforcement and Consequences
rapptide reserves the right to take action when prohibited conduct is detected. Actions may include, without limitation:
- Immediate suspension of your account or access to the service.
- Permanent termination of your account and deletion of associated data.
- Blocking network access (IP blocking, rate limiting, or device restrictions).
- Cooperation with law enforcement authorities where applicable.
- Pursuing civil or criminal action for damages or violations of law.
7.4 Responsibility for Team Members
You are responsible for ensuring that all users under your organization adhere to these rules. Any violation by your team members is treated as a violation by your organization.
8. Intellectual Property
8.1 Ownership of the Platform
The rapptide platform — including all software, source code, APIs, databases, architecture, algorithms, templates, workflows, UI/UX designs, text, graphics, logos, trademarks, branding elements, and all other content — is and remains the exclusive property of rapptide. Nothing in these Terms transfers ownership rights to you or any third party.
8.2 License to Use the Service
Subject to compliance with these Terms, rapptide grants you a limited, revocable, non-exclusive, non-transferable license to access and use the platform for your internal business purposes only.
This license does not grant you any rights to:
- Copy, modify, or create derivative works of the platform;
- Sell, distribute, sublicense, or commercially exploit any part of the service;
- Access or use the platform to build a competing product or reverse engineer its functionality;
- Remove or obscure any copyright, trademark, or proprietary notices.
8.3 User-Generated Content
You retain ownership of any content, data, or materials you upload to the platform. By uploading such content, you grant rapptide a worldwide, non-exclusive, royalty-free license to store, process, display, and transmit your content solely as required to provide the service.
8.4 Feedback and Suggestions
Any ideas, feature requests, suggestions, or feedback you provide to rapptide are considered non-confidential and may be used by us without restriction, attribution, or compensation.
8.5 Protection of rapptide Technology
You agree not to attempt to:
- Copy or replicate platform functionality or UI components;
- Access system code or underlying architecture except through approved APIs;
- Reverse engineer, decompile, disassemble, or extract source code;
- Probe or test rapptide systems without written permission;
- Use the platform to train AI models or datasets without explicit permission.
8.6 Violations
Unauthorized use of rapptide’s intellectual property may result in immediate termination of your account, legal action, and claims for damages, including injunctive relief.
9. Third-Party Services
rapptide integrates third-party services (payments, analytics, authentication). We are not responsible for third-party content or terms. You should review third-party policies independently.
10. Service Availability and Warranty Disclaimer
- No Warranty: Services are provided “AS IS”.
- No Guarantee: We do not guarantee uninterrupted service or error-free performance.
- Maintenance: Maintenance may require temporary downtime.
- SLA: Any uptime guarantees apply only if explicitly agreed in a written Service Level Agreement.
11. Limitation of Liability
11.1 Maximum Liability
To the fullest extent permitted by law, rapptide’s total liability for any claim arising out of or related to the service, whether in contract, tort, or otherwise, is limited to the greater of:
- €100 (one hundred euros), or
- The total fees paid by your organization to rapptide in the 12 months immediately preceding the claim.
11.2 Exclusion of Certain Damages
Under no circumstances shall rapptide be liable for any:
- Indirect, incidental, special, or consequential damages;
- Loss of profits, revenue, business opportunities, or anticipated savings;
- Loss, corruption, or deletion of data;
- Punitive or exemplary damages.
Even if rapptide has been advised of the possibility of such damages, they are excluded.
11.3 B2B Protection
This limitation applies to all business and professional users of rapptide. By using the service, you acknowledge that the service is provided for internal business purposes and that this liability cap is reasonable and a key condition of accessing rapptide.
11.4 Non-Excludable Liability
Nothing in this section excludes or limits liability to the extent it cannot be excluded or limited by applicable law, including liability for:
- Death or personal injury caused by our negligence;
- Fraud or fraudulent misrepresentation; or
- Other liabilities that cannot legally be limited.
11.5 Mitigation Obligation
You agree to take reasonable steps to mitigate any loss or damage and to notify rapptide promptly of any issues that may give rise to a claim.
12. Indemnification
12.1 User Responsibility
You agree to defend, indemnify, and hold harmless rapptide, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, or expenses (including reasonable attorney’s fees) arising from:
- Your use of the service in violation of these Terms or applicable law;
- Your misuse, unauthorized access, or disruption of the platform;
- Content you upload or transmit that infringes third-party rights or is illegal, harmful, or offensive;
- Any breach of representations or warranties you make to rapptide.
12.2 Cooperation
You agree to promptly notify rapptide of any claim, and to cooperate fully in the defense or settlement of the claim.
12.3 Limitation
This indemnification obligation applies to the fullest extent permitted by law, but does not apply to the extent that a claim arises from rapptide’s gross negligence, fraud, or willful misconduct.
13. Force Majeure
13.1 Definition
“Force Majeure” means any event beyond the reasonable control of rapptide, including but not limited to:
- Natural disasters (floods, earthquakes, hurricanes, etc.)
- Cyberattacks, security breaches, or system failures
- Internet, hosting, or cloud provider outages
- War, terrorism, or civil unrest
- Governmental actions, regulations, or restrictions
- Labor strikes or industrial disputes
13.2 Effect on Obligations
rapptide’s obligations under these Terms, including service availability, are suspended for the duration of the Force Majeure event. Suspension does not constitute a breach of contract.
13.3 Notification
Where reasonably possible, rapptide will notify affected users of the occurrence of a Force Majeure event and provide updates on anticipated resolution or resumption of services.
13.4 Limitations
Users acknowledge that rapptide is not liable for any damages, losses, or delays resulting from a Force Majeure event, including lost data, missed deadlines, or interruption of business operations.
14. Governing Law and Disputes
- Governing Law: Belgian law applies.
- Consumers: EU consumers may bring disputes in their country of residence.
- Businesses: Business customers submit to exclusive jurisdiction of the courts of Belgium.
15. Changes to Terms
We may update these Terms at any time. Material changes will be communicated with at least 30 days’ notice. Continued use after changes constitutes acceptance.
